Terms of Service

These Terms of Service ("Terms") govern access to and use of the CPG X Direct platform (the "Platform"), operated by CPG X ("CPG X," "we," "us," or "our"). By creating an account, applying for access, or otherwise using the Platform, you agree to these Terms.

1. What the Platform does

CPG X Direct connects independent sales representatives ("Reps"), retail stores ("Stores"), and consumer packaged goods brands or manufacturers ("Brands") into a single ordering pipeline. Orders placed through the Platform route to the relevant Brand for fulfillment; CPG X does not warehouse or ship physical inventory.

2. Accounts and applications

Access to Rep, Store, or Brand functionality requires submitting an application and being approved by a CPG X administrator. We may approve, reject, or revoke access at our discretion. You're responsible for keeping your account credentials confidential and for all activity under your account.

3. Commission structure

Orders placed through the Platform carry a standard commission split, currently: 80% to the Brand, 12% to the crediting Rep, and 8% to CPG X, calculated automatically on the order subtotal. CPG X may update this structure prospectively with notice.

4. Orders and fulfillment

Stores and Reps are responsible for the accuracy of orders they submit. Brands are responsible for fulfilling accepted orders in a timely manner and for the quality, safety, and legality of the products they list. CPG X is not a party to the underlying sale of goods and is not responsible for product defects, delivery delays, or fulfillment failures caused by a Brand.

5. Acceptable use

• Don't misrepresent your identity, business, or authority to place orders on behalf of a Store.
• Don't submit false or misleading application, product, or pricing information.
• Don't attempt to bypass the approval process, scrape the Platform, or interfere with its normal operation.

6. Fees and payment

Commission amounts are calculated automatically at the time an order is placed. Payment terms and timing between CPG X, Reps, Stores, and Brands will be described separately in your onboarding agreement or a linked payment policy.

7. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, including for violation of these Terms. You may stop using the Platform at any time.

8. Disclaimers and limitation of liability

The Platform is provided "as is" without warranties of any kind. To the fullest extent permitted by law, CPG X is not liable for indirect, incidental, or consequential damages arising from your use of the Platform, including losses related to order fulfillment, product quality, or business interruption.

9. Changes to these Terms

We may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
